Terms of Service

These Terms of Service ("Terms") govern your use of Docent (the "Service"), an AI-assisted moderation bot and web dashboard for Discord servers, operated by Skelvon Labs LLC (d/b/a Docent) ("we", "us"). By adding the bot to a Discord server or using the dashboard, the server's administrators agree to these Terms on behalf of that server. If you add or use the Service on behalf of a company, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms, and "you" also refers to that entity.

1. What the Service does

Docent analyzes messages posted in a server where it is installed and helps human moderators act on content that may violate that server's rules. The AI flags content for human review; it does not autonomously ban users, and moderators approve or reject each flagged item. Some optional features (e.g. automatic removal of images the AI flags as harmful, cool-off holds, posting pauses) are configured by each server's administrators.

2. Eligibility and responsibility

You must have permission to add and configure the bot on a given Discord server (Discord's "Manage Server" permission), and you must comply with Discord's own Terms of Service and Community Guidelines. Server administrators are responsible for configuring the Service, for the moderation decisions their moderators make, and for informing their members that automated moderation is in use where required by law. Organizations that operate community servers (for example, companies, game studios, and brands) are additionally responsible for the acts and omissions of the employees, contractors, and volunteer moderators they authorize to use the Service.

3. Acceptable use

You agree not to: (a) use the Service to unlawfully surveil, harass, or discriminate against users; (b) attempt to disrupt, reverse-engineer, or overload the Service or its infrastructure; (c) deliberately feed the AI crafted content to manipulate how it moderates other users; or (d) use the Service in violation of applicable law.

4. Plans, billing, and changes

The Service offers a free tier and paid subscription tiers. Paid subscriptions are billed through Stripe; by subscribing you also agree to Stripe's terms. Fees are billed per the plan selected in the dashboard. We may change plan prices; for existing paid subscribers a price change is communicated with at least 30 days' notice and applies at the next billing cycle. You may cancel at any time through the billing portal; cancellation stops future charges and takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable. Organizations may also purchase the Service under a separate signed agreement (for example, for invoicing, procurement, or custom terms); where a signed written agreement between you and Skelvon Labs LLC (d/b/a Docent) conflicts with these Terms, the signed agreement controls.

5. AI limitations — no warranty of accuracy

Automated moderation is imperfect. The Service may flag content that is not actually violating (false positives) or miss content that is (false negatives). The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose. You are responsible for keeping a human in the loop for consequential moderation decisions.

6. Service availability

The Service is under active development and is currently offered without a guaranteed service level. We make commercially reasonable efforts to keep the Service available; maintenance or urgent security work may cause interruptions. A service-level agreement (SLA) for organizations is available only under a separate signed agreement.

7. Data

Our handling of message content and other data is described in the Privacy Policy, which forms part of these Terms. Organizations that require a data processing addendum (DPA) can request one at [email protected].

8. Suspension and termination

You may stop using the Service at any time by removing the bot from your server. We may suspend or terminate access for a server that violates these Terms or that abuses the Service or its infrastructure. On termination, data is deleted as described in the Privacy Policy.

9. Limitation of liability

To the maximum extent permitted by law, Skelvon Labs LLC (d/b/a Docent) will not be liable for any indirect, incidental, or consequential damages, or for any loss arising from moderation decisions, false positives or negatives, or Service unavailability. Our total aggregate liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months preceding the claim.

10. Assignment

You may not assign these Terms without our prior written consent, except to a successor in a merger, acquisition, or sale of substantially all assets, with notice to us. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

11. Feedback

If you send us feedback or suggestions about the Service, we may use them without restriction or obligation to you.

12. Changes to these Terms

We may update these Terms. Material changes will be reflected by an updated effective date at the top of this page and, where practical, surfaced in the dashboard. Continued use after a change constitutes acceptance.

13. Miscellaneous

These Terms, together with the Privacy Policy and any signed written agreement between you and Skelvon Labs LLC (d/b/a Docent), are the entire agreement regarding the Service. If any provision is held unenforceable, the remainder stays in effect; a failure to enforce a provision is not a waiver of it. You must use the Service in compliance with applicable law, including export-control and sanctions laws.

14. Governing law and contact

These Terms are governed by the laws of the State of Oklahoma, United States, without regard to its conflict-of-laws rules. Questions about these Terms can be sent to [email protected].
